Constitution of Salisbury DJ Academy
1. Name
The name of the group shall be “Salisbury DJ Academy” (hereafter referred to as “The Academy”).
2. Aims and Objectives
The Academy exists to:
Provide accessible and inclusive DJ training and music related education for anyone aged 8+ from any background, with a particular focus on young people.
Motivate, promote creativity, self confidence & technical skills through music theory, mentoring and one to one tuition.
Attract local & national funding through community grants, fundraising, donations and putting on events.
Engage with the community and encourage youth & adult development through workshops, performances, and events.
Offer progression opportunities for those wishing to pursue DJing or music production professionally or as a hobby.
Create a safe, respectful, and inclusive environment for learning, collaboration, and artistic expression.
3. Powers
To achieve its aims, the Academy may:
Provide one to one tuition (Remotely or face to face), Run workshops, courses, performances, and events.
Lease, license, loan or own property, music, equipment and software necessary for its activities.
Raise funds through grants, donations, sponsorships, membership fees, or trading activities.
Work with other organisations and individuals to achieve the academy’s aims & objectives.
4. Membership
Membership is open to anyone who supports the aims of the Academy, regardless of age, gender, race, religious beliefs, background, or ability.
The Management Committee has the right to approve or reject applications for membership.
Members may be asked to pay a one off registration fee to cover the costs of essential equipment/tools/materials and music files they will need to get started.
The “one-off registration fee” cost will be set/reviewed at the Annual General Meeting (AGM).
The Management Committee has the right to terminate the membership of any individual for conduct that is deemed harmful to the group, its staff, volunteers and other members or contrary to the group's aims, provided the member is given a fair hearing.
5. Management Committee
The Academy shall be managed by a Management Committee of no fewer than 3 and no more than 5 members.
The Committee shall include the following officers:
Chair
Secretary
Treasurer
Other roles may be created as necessary (e.g., Outreach Coordinator, Safeguarding Officer).
The Management Committee is a volunteer role which will be formed by the founding members and may serve a term of up to three years at which point they may stand for re-election by way of a vote of the membership. Should any of the management committee wish to stand down at any time then a replacement candidate will be sought and elected by the membership by way of a vote at an SGM.
The Management Committee shall meet at least 4 times per year.
6. Duties of the Management Committee
The Committee shall:
Manage the affairs of the Academy in line with its aims and in accordance with UK law and any applicable regulations.
Be accountable to the membership and report annually.
Maintain accurate records of meetings, finances, and activities.
Ensure that appropriate safeguarding, health and safety, and equal opportunities policies are in place and reviewed on an annual basis.
7. Finance
The Academy shall operate a bank account in the name of “Salisbury DJ Academy”.
All funds shall be used only to further the aims of the Academy.
All cheques, purchases and online payments must be authorised by the management committee. Once authorised the payment can then be made by any one of the management committee members.
The Treasurer shall keep up-to-date accounts and present a financial report at each AGM.
8. Annual General Meeting (AGM)
The AGM shall be held annually, with at least 21 days’ notice given to all members.
The agenda shall include:
A report from the Chair.
Presentation of accounts by the Treasurer.
Any proposed changes to the constitution.
All members shall be entitled to attend and vote.
9. Special General Meetings (SGM)
A Special General Meeting may be called by the Committee or at the request of at least 5 members.
At least 14 days’ notice must be given to all members.
Only matters specified in the notice shall be discussed.
10. Amendments to the Constitution
Amendments to the Constitution may only be made at the AGM or a Special General Meeting.
Proposed amendments must be submitted in writing at least 14 days in advance.
Amendments require a two-thirds majority of those present and voting.
11. Dissolution
The Academy may be dissolved by a resolution passed by two-thirds of those present and voting at a General Meeting.
Any assets remaining after debts and liabilities have been met shall be transferred to one of the following, as determined by the membership:
A local charity or community group with similar aims, or
A new Community Interest Company (CIC) formed by the existing Management Committee for the purpose of continuing the work of the Academy.
If the assets are to be transferred to a CIC, this must be approved by a majority vote of the Management Committee, and the CIC must have community benefit objectives aligned with those of the Academy.
A full report on the reasons for dissolution and the destination of assets must be made available to the membership.
12. Founding Members' Veto
The founding members of the Academy shall retain the right to veto any decision made by the Management Committee or membership that, in their view, would significantly alter:
The core structure or governance of the group,
The nature or scope of its activities,
The rights or inclusion of its members.
The veto may only be exercised by a founding member.
For the purposes of this clause, the founding members shall be those named in the Academy’s initial formation record, and any exercise of veto must be recorded in writing and reported to the membership.
